Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Artysan (the “Platform”), operated by Irora Labs (“we,” “us,” or “our”), accessible at artisan.iroralabs.com. The Platform includes our web application, marketplace, API, and all related services.

By creating an account or using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

1. Acceptance of Terms

By accessing or using Artysan, you confirm that you are at least 16 years old, capable of forming a binding contract, and agree to comply with these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

We may update these Terms from time to time. We will notify you of material changes at least 14 days in advance by email or through a prominent notice on the Platform. Your continued use after the effective date of revised Terms constitutes acceptance.

2. Account Registration and Security

To use most features of the Platform, you must create an account. When you do, you agree to:

• Provide accurate, current, and complete registration information.
• Maintain and promptly update your account information.
• Keep your login credentials confidential and not share them with others.
• Notify us immediately of any unauthorized use of your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, contain fraudulent information, or pose a security risk.

3. Platform Description

Artysan is a craft business management platform that provides tools for recipe management, production tracking, inventory control, cost analysis, point-of-sale, and an online marketplace. The Platform supports 75+ craft modules spanning categories such as bath & body, food & beverage, ceramics, woodworking, textiles, and more.

Features may vary by subscription plan. We continuously develop and improve the Platform and may add, modify, or remove features with reasonable notice.

4. Subscription Plans and Pricing

4.2 Transaction Fees

Transaction fees (0.5% to 1%, depending on your plan) apply to marketplace sales and point-of-sale transactions processed through the Platform. These fees are calculated on the gross transaction amount and are deducted before seller payouts. Standard payment processor fees (charged by Stripe) are separate and in addition to our transaction fees.

4.3 Billing

• Paid subscriptions are billed monthly in advance.
• All prices are in US Dollars unless otherwise stated.
• You authorize us to charge your payment method on file for recurring subscription fees.
• Failed payments may result in service interruption after a 7-day grace period.
• We reserve the right to change pricing with at least 30 days' advance notice. Existing subscribers will be notified before any price change takes effect on their account.

4.4 Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation, you retain access to paid features until the end of your current billing period. After that, your account reverts to the Free plan. We do not provide prorated refunds for partial billing periods. If you believe a charge was made in error, contact us within 30 days.

5. Intellectual Property and Your Content

5.1 Your Content

You retain full ownership of all content you create, upload, or store on the Platform, including but not limited to:

• Recipes, formulas, and production methods.
• Batch records and production notes.
• Inventory data and supplier information.
• Product listings, descriptions, images, and pricing.
• Business information, customer records, and financial data.
• Shop branding, logos, and profile content.

We do not claim any ownership rights over your content. By using the Platform, you grant us a limited, non-exclusive license to host, store, display, and transmit your content solely to operate and provide the Platform. For content you make publicly available (marketplace listings, public shop pages), you grant us an additional license to display and promote that content on the Platform and in marketing materials.

5.2 Our Intellectual Property

The Platform, including its design, code, features, branding, logos, and documentation, is owned by Irora Labs and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, trade names, or branding without prior written consent. The names “Artysan,” “Irora,” and “Irora Labs” are our trademarks.

5.3 Data Portability

You may export your data at any time using the Platform's built-in export tools. We support standard formats (CSV, JSON) to ensure you are never locked in. Upon account deletion, you may request a full export of your data before it is removed.

6. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• Violate any applicable law, regulation, or third-party rights.
• Upload content that is fraudulent, misleading, defamatory, obscene, or harmful.
• Sell counterfeit, stolen, illegal, or prohibited goods on the marketplace.
• Sell products that violate applicable regulations (e.g., unapproved cosmetics, mislabeled food products).
• Interfere with or disrupt the Platform, its servers, or connected networks.
• Attempt to gain unauthorized access to any part of the Platform or other users' accounts.
• Use automated tools (bots, scrapers, crawlers) to access the Platform without our written permission.
• Reverse-engineer, decompile, or disassemble any part of the Platform.
• Circumvent or manipulate the fee structure, transaction fees, or payment processes.
• Engage in spam, phishing, or unsolicited communications through the Platform.
• Impersonate another person or entity.
• Use the Platform to compete with Artysan or build a similar service.

We reserve the right to investigate violations and take appropriate action, including removing content, suspending accounts, and reporting illegal activity to law enforcement.

7. Marketplace Terms

7.1 Role of the Platform

The Artysan marketplace connects sellers (makers) with buyers. Irora Labs acts as a platform facilitator, not as a buyer, seller, or party to any transaction between users. We do not manufacture, store, or ship any products sold on the marketplace.

7.2 Seller Obligations

• Provide accurate and truthful product descriptions, ingredients, and images.
• Comply with all applicable laws regarding the products you sell, including labeling, safety, and consumer protection regulations.
• Fulfill orders in a timely manner and provide valid tracking information when shipping.
• Respond to buyer inquiries and resolve disputes in good faith.
• Maintain a connected Stripe account in good standing for receiving payouts.
• You are solely responsible for the products you sell, including their safety, quality, and compliance with applicable regulations.

7.3 Buyer Responsibilities

• Provide accurate shipping information.
• Review product descriptions, including ingredient lists and allergen information, before purchasing.
• Contact the seller before opening a dispute to attempt resolution.

7.4 Payments and Payouts

Marketplace payments are processed through Stripe. When a buyer completes a purchase, the payment is held by Stripe and distributed to the seller after deducting the applicable transaction fee (0.5% to 1%) and Stripe's processing fees. Payout timing is determined by the seller's Stripe account configuration.

8. Point-of-Sale and Event Sales

The Platform includes point-of-sale (POS) features for in-person selling at markets, fairs, and events. Transaction fees (0.5% to 1%) apply to POS transactions processed through the Platform. These fees are in addition to any payment processor fees charged by your chosen POS payment provider. You are responsible for collecting and remitting applicable sales tax on in-person transactions.

9. Service Availability

We strive to keep the Platform available 24/7 but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible).
• Urgent security patches or critical updates.
• Circumstances beyond our reasonable control (infrastructure provider outages, natural disasters, etc.).

The Platform includes offline-capable features (such as event sales mode) that are designed to function during connectivity interruptions. Data syncs automatically when connectivity is restored.

10. Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the foregoing, we do not warrant that:

• The Platform will meet your specific requirements.
• The Platform will be uninterrupted, timely, secure, or error-free.
• Calculator results, cost estimates, or analytics data will be accurate or complete. These tools are provided as aids and should not be your sole basis for business decisions.
• Products sold on the marketplace will be safe, lawful, or as described by sellers.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Irora Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from or related to your use of the Platform.

Our total aggregate liability for all claims arising from or related to these Terms or your use of the Platform shall not exceed the greater of: (a) the amount you have paid to us in subscription fees during the 12 months preceding the claim, or (b) fifty US dollars ($50).

This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise), even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you to the extent prohibited by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Irora Labs, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) products you sell through the marketplace; or (e) any content you submit to the Platform.

13. Termination

You may terminate your account at any time by deleting it through your account settings or by contacting us. We may suspend or terminate your account if:

• You breach these Terms or any applicable law.
• Your account has been inactive for more than 24 months.
• We are required to do so by law or legal process.
• We reasonably believe your account poses a security or fraud risk.
• We decide to discontinue the Platform (with at least 90 days' notice).

Upon termination, your right to use the Platform ceases immediately. You may request an export of your data within 30 days of termination. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will continue to apply.

14. Dispute Resolution

We want to resolve disputes fairly and efficiently. If you have a concern:

• Contact us first: Email contact@iroralabs.com and we will work to resolve the issue within 30 days.
• Mediation: If we cannot resolve the dispute informally, either party may request non-binding mediation.
• Arbitration: Disputes that cannot be resolved through mediation shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will be conducted on an individual basis, not as a class action.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in court for matters relating to intellectual property or unauthorized access to the Platform.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

16. Third-Party Services and Links

The Platform integrates with third-party services (Stripe for payments, Clerk for authentication) and may contain links to third-party websites. We are not responsible for the content, policies, or practices of any third-party service. Your use of third-party services is subject to their respective terms and privacy policies. Integration with these services does not imply endorsement.

17. General Provisions

• Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Irora Labs regarding your use of the Platform.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it in the future.
• Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
• Force majeure: We are not liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet infrastructure failures.
• Notices: We will send notices to the email address associated with your account. You are responsible for keeping your email address current. Notices are deemed received 24 hours after being sent.
